Additional services may be offered depending on client requirements, project scope, and mutual agreement.
Client Responsibilities
For the effective and timely delivery of services, the client agrees to:
Provide accurate, complete, and timely information, content, and approvals.
Grant required access to hosting, CMS, analytics tools, social media platforms, or brand materials.
Respond to project-related queries or feedback within 2–3 business days to avoid delays.
Avoid unauthorized third-party modifications to websites, content, or campaigns during the engagement period unless prior notice is given.
Delays or issues arising from non-compliance with these responsibilities are not the liability of nikhilsoman.in.
Timelines & Deliverables
Project timelines will be discussed and outlined at the start of engagement. However, delivery schedules may vary depending on client responsiveness, scope adjustments, or unforeseen challenges.
Web development projects may require multiple stages of approval (design, content, testing) before final deployment.
SEO, branding, and digital marketing projects are long-term in nature, and outcomes depend on several external factors. Results cannot be guaranteed, though every effort will be made to apply best practices for optimal outcomes.
Payments & Fees
All services will be billed as per the agreed proposal or quotation.
Advance payment is required before commencement of any project.
Ongoing services (such as SEO, branding, or digital marketing management) are billed on a monthly, quarterly, or annual basis depending on the agreement.
Payments once made are non-refundable, unless otherwise stated in writing.
All payments are subject to applicable taxes under Indian law.
Failure to make timely payments may result in project delays, suspension of services, or termination of the engagement.
Intellectual Property & Content Ownership
Any materials, designs, media, or content provided by the client remain the intellectual property of the client.
Final deliverables created by nikhilsoman.in (such as websites, graphics, branding assets, or digital strategies) will be transferred to the client upon full and final payment.
nikhilsoman.in retains the right to showcase completed work in its portfolio, case studies, or promotional materials unless the client specifically objects in writing.
Confidentiality
We respect and protect the confidentiality of your business. Any confidential information, trade secrets, or sensitive data shared during the project will not be disclosed to third parties, unless required by law.
Termination of Services
Either party may terminate the agreement with a 30-day written notice.
In the event of early termination, fees will be charged for all work completed up to the termination date.
Advance payments for unused services will not be refunded.
Limitation of Liability
nikhilsoman.in will not be liable for indirect or consequential damages such as loss of revenue, business interruption, reputational harm, or third-party actions.
Our total liability in any claim is limited to the service fees paid for one month under the current engagement.
External Influences & No Guarantees
Digital performance can be influenced by factors outside our control, including search engine algorithm updates, social media platform changes, competitor activities, or hosting/server issues.
While we implement proven strategies and industry best practices, we do not guarantee specific outcomes such as first-page rankings, follower counts, or exact ROI metrics.
SEO-Specific Terms & Conditions
Given the dynamic and highly competitive nature of SEO, the following additional terms apply:
No Ranking Guarantees – Search engines control indexing and ranking. We cannot guarantee specific positions for keywords, but we aim to improve visibility and traffic over time.
Timeframe for Results – SEO improvements may take 4–6 months or longer, depending on industry competition, domain history, and content quality.
Algorithm Changes – Search engine policies and algorithms frequently change. Performance fluctuations due to such changes are beyond our control.
Keyword Strategy – Keywords are finalized at the beginning of the project. Additional requests for new keywords may be considered during periodic reviews but may not be implemented immediately.
Client Cooperation – Timely approvals, provision of content, and access to analytics are essential for SEO success. Lack of cooperation may impact results.
Third-Party Interference – If unauthorized edits or SEO changes are made by other agencies or individuals, nikhilsoman.in will not be held responsible for negative impacts.
External Links & Content – The client must avoid linking to spammy, blacklisted, or low-quality websites. Such links can damage SEO performance, and we are not liable for these consequences.
Governing Law
These Terms & Conditions are governed by the laws of India, and any disputes shall fall under the jurisdiction of the courts of Kerala.
